The agreement between you and Sentefy Solutions Limited when you use the Sentefy platform.

These Terms & Conditions govern your use of the Sentefy platform, website and related services, operated by Sentefy Solutions Limited. By using Sentefy, you agree to these terms. Please read them together with our Privacy Policy.

1. Introduction

These Terms & Conditions (“Terms”) form a binding agreement between you and Sentefy Solutions Limited, a company incorporated under the laws of the Republic of Uganda (“Sentefy”, “we”, “us” or “our”). By registering an account, creating a campaign, making a donation, or otherwise using the platform, you confirm that you accept these Terms. If you do not agree, please do not use the platform.

2. About Sentefy

Sentefy is a technology platform that helps individuals and organisations raise funds from supporters through Uganda’s mobile money infrastructure. We provide the tools to create campaigns and to send and receive donations.

Sentefy is not a bank, financial institution, escrow agent or trustee. We do not hold your donation as savings, use it for any other purpose, or decide whether it reaches the campaign. Your payment is collected by our payment partner and, as soon as it is confirmed, paid out automatically — less the fees shown to you — to the mobile money number the campaign creator registered. We cannot send it anywhere else, and we keep only those disclosed fees.

We verify the identity of campaign creators, but this does not mean we endorse any campaign or guarantee that funds will be used as described. Donations are made at the donor’s own discretion.

3. Eligibility

  • You must be at least 18 years old and able to enter into a binding contract under Ugandan law.
  • Organisations must be properly constituted, and anyone acting for an organisation must be authorised to do so.
  • You must not be subject to any sanctions or legal restrictions that would prevent you from taking part in financial transactions.
  • We may refuse, suspend or withdraw access to the platform where we are required to by law or by our compliance obligations.

4. Your account

You register using a Ugandan mobile phone number and verify it with a one-time password sent by SMS. You are responsible for activity that takes place under your account, and you must keep your access secure and your information accurate. You may hold only one account, and you must not impersonate any person or use a number you do not control. If you believe your account has been compromised, contact us immediately.

5. How payments work

Donations are processed by pawaPay, a mobile money payment provider, for payments by MTN Mobile Money and Airtel Money. When you make a donation:

  • we send your phone number and the donation amount to pawaPay;
  • your mobile money operator sends a prompt to your phone asking you to approve the payment;
  • you approve the payment by entering your PIN on your own handset — Sentefy never sees your PIN;
  • once approved, pawaPay collects the payment and, as soon as it confirms the payment succeeded, automatically pays out the amount less the fees shown to you to the mobile money number the campaign registered.

Because pawaPay processes the payment, your use of the payment feature is also subject to pawaPay’s own terms. Sentefy is not an escrow agent or custodian: it does not hold your contribution as savings, use it for any other purpose, or decide whether it reaches the campaign. The payout is automatic, goes only to the number that campaign registered, and Sentefy keeps only the fees shown to you before you paid.

6. Fees and transparency

A platform fee and mobile money charges may apply to each donation. Before you confirm a donation, we show you the applicable fees and the amount the campaign will receive after fees, so you can decide with full information. Mobile money charges are set by the payment provider and the mobile network operators. You are responsible for any taxes that may apply to your donation.

7. Identity verification

Campaign creators must complete identity verification before creating or activating a campaign. This is a legal requirement under Bank of Uganda KYC and anti-money-laundering guidelines, not an optional step.

Verification is currently carried out by manual review: starting verification creates a request, and we contact you directly to confirm your identity. No identity documents are collected through the platform. We are integrating Smile ID, a specialist identity-verification provider, which will run the check on its own secure page — document authentication, a selfie match and a cross-check against the national ID register. We will update these Terms before that becomes the live process. Under that process your ID images and personal details would be submitted on Smile ID’s own page, not through Sentefy, and would never be stored by Sentefy; any identity detail returned to us in a verification result would be used only momentarily and then discarded. Either way we keep only the verification outcome and reference numbers. Your verification is either approved or, if it cannot be confirmed, declined so you can try again. We retain records of verification outcomes for 10 years as required by law. Verification confirms who you are; it is not an endorsement of your campaign.

Donors do not need to verify their identity, except for large donations as described below.

8. Large donations

For large donations (currently those of UGX 5,000,000 or more), we are required to carry out enhanced due diligence before the payment is processed. You will be asked to provide the source of the funds, the purpose of the transaction, how frequently you expect to give, and, optionally, your relationship to the campaign. If you do not complete these checks, the donation cannot be processed.

9. Campaign creators

If you create a campaign, you are responsible for it. You agree that:

  • all information in your campaign is truthful, accurate and not misleading;
  • you will use funds raised only for the purpose described in your campaign;
  • you will keep your supporters reasonably informed, and provide evidence of how funds were used if we or an authority reasonably request it; and
  • you are solely responsible for any commitments you make to donors. Sentefy is not a party to those commitments.

Prohibited campaigns

You must not create a campaign that:

  • is fraudulent, deceptive or misleading;
  • involves money laundering, terrorist financing or any other financial crime;
  • is for any illegal good, service or activity under Ugandan law;
  • supports or opposes a specific candidate, political party or electoral outcome;
  • promotes hatred, violence, harassment or discrimination against any person or group;
  • involves gambling, get-rich-quick or pyramid schemes; or
  • infringes anyone else’s intellectual property or other rights.

We may review, suspend or remove any campaign that we reasonably believe breaches these Terms or the law, or where we are required to by an authority.

10. Donors

Donations are voluntary and made at your own discretion. We verify that campaign creators are real, identifiable people, but we do not audit campaigns or guarantee that funds will be used as described. You may give anonymously without creating an account.

Refunds. Because a contribution is paid out automatically to the campaign creator’s mobile money number as soon as the payment provider confirms it, donations are generally non-refundable once processed. We will, however, work to assist where a payment was taken in genuine error (for example, a technical duplicate) or where we identify a fraudulent campaign and recovery is possible. Nothing in these Terms removes our obligations to maintain our KYC and anti-money-laundering controls, to remove fraudulent campaigns we become aware of, and to report suspicious activity to the authorities.

11. Prohibited conduct

You must not:

  • use the platform to commit, facilitate or conceal fraud, money laundering or any other crime;
  • provide false or misleading information when registering, verifying your identity, or creating a campaign;
  • impersonate any person or misrepresent your identity or affiliation;
  • create multiple accounts or use someone else’s account;
  • attempt to access parts of the platform you are not authorised to use, or interfere with its security or operation; or
  • use automated tools to access the platform without our permission.

12. Anti-money-laundering and sanctions

Sentefy is subject to Uganda’s anti-money-laundering laws. To meet those obligations we verify the identity of every campaign creator before their campaign can receive contributions, and we collect additional information — including source of funds and the purpose of the payment — before processing any single contribution of UGX 5,000,000 or more.

By using the platform you also acknowledge that we may screen users against sanctions and watch lists, review transactions for unusual activity, suspend an account pending a compliance review, and report suspicious or large transactions to the Financial Intelligence Authority where the law requires. These are legal obligations and are not subject to your consent being withheld. In some circumstances the law prevents us from telling you that a review is taking place.

13. Reliance on third parties

The platform depends on third-party providers, including pawaPay (payments), the mobile network operators, Supabase (infrastructure) and Vercel (hosting). We are not responsible for failures, delays or outages caused by these providers or by the mobile networks, provided we have taken reasonable steps to select reputable providers and to meet our own obligations. Where a payment fails because of a payment provider or network issue, you should contact that provider. Each provider has its own terms, which may also apply to your use of the platform.

14. Limitation of liability

To the maximum extent permitted by Ugandan law, Sentefy is not liable for indirect or consequential loss; for loss caused by a campaign creator’s fraud or misuse of funds, where we have met our KYC and anti-money-laundering obligations; for the failure or unavailability of pawaPay or the mobile network operators; for inaccurate campaign information provided by creators; or for events beyond our reasonable control. The platform is provided on an “as is” and “as available” basis.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under Ugandan consumer-protection or other mandatory law.

15. Indemnity

You agree to indemnify Sentefy, its directors, officers and staff against any claims, losses, damages, liabilities and reasonable costs arising from your breach of these Terms, any campaign you create, your misuse of the platform, or your breach of any law or third-party right.

16. Intellectual property

Sentefy and all content we create remain our property or that of our licensors. When you create a campaign, you grant us a non-exclusive, royalty-free licence to display your campaign content on the platform and in materials promoting the platform. You confirm that you have the right to use all content you submit and that it does not infringe anyone else’s rights.

17. Reporting concerns

If you believe a campaign is fraudulent, misleading or in breach of these Terms, please report it using the reporting feature on the platform or contact us at support@sentefy.com. We investigate reports and may suspend a campaign, request more information, or report the matter to the relevant authorities.

18. Suspension and termination

We may suspend or close your account, or remove a campaign, if you breach these Terms, if we suspect fraud or other illegal activity, if you fail to complete or maintain identity verification, or where we are required to by law or an authority. Where we can, we will tell you before we do so, unless the law prevents us. You may close your account at any time. After your account is closed, we keep data for the periods required by law (see our Privacy Policy).

19. Governing law and disputes

These Terms are governed by the laws of the Republic of Uganda. Any dispute arising out of or in connection with these Terms is subject to the jurisdiction of the courts of Uganda. We encourage you to contact us first so we can try to resolve any concern directly.

20. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify you through the platform. If you continue to use the platform after the changes take effect, you accept the updated Terms.

21. General

These Terms, together with our Privacy Policy and any other policies we publish, constitute the entire agreement between you and Sentefy regarding the platform. If any part of these Terms is found to be invalid or unenforceable, the remaining parts continue to apply.
